Terms of Service

Welcome to Willy.legal (“Willy,” “we,” “our,” or “us”). These Terms of Service (the “Terms”) form a binding legal agreement between you and Willy.legal governing your access to and use of our website, software, and related services (collectively, the “Service”).

By creating an account, purchasing a product, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy and Refund Policy, which are incorporated by reference. If you do not agree to these Terms, do not use the Service.

1. Willy is not a law firm

Willy.legal is not a law firm and does not provide legal advice or legal representation. We are a self-help document preparation service. Using the Service does not create an attorney-client relationship between you and Willy. No information we provide, including content on our website, in your account, or in any document generated by the Service, is a substitute for the advice of a licensed attorney in your jurisdiction.

If you have specific legal questions about your estate, a complex family situation, sizeable or complex assets, business interests, special-needs beneficiaries, or any other matter that may require professional judgment, you should consult a licensed attorney before signing a will.

2. Eligibility

To use the Service, you must:

  • Be at least 18 years old (or the age of majority in your state);
  • Be a resident of one of the 50 United States or D.C.;
  • Have the legal capacity to enter into a binding contract; and
  • Provide accurate information about yourself and the people you name in your will.

The Service is not available to residents of Louisiana for will preparation, because Louisiana’s civil-law system imposes requirements that our templates do not satisfy. Louisiana residents should consult a Louisiana-licensed attorney.

3. Your account

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@willy.legal if you suspect unauthorized access. We are not liable for any loss arising from your failure to protect your credentials.

You may close your account at any time by contacting us. We may suspend or terminate your account if you violate these Terms, abuse the Service, attempt to defraud or harm other users, or as otherwise permitted by law.

4. The documents we generate

Willy generates a last will and testament and related documents based on the information you provide and on widely used legal frameworks. You, not Willy, are responsible for:

  • The accuracy of the information you enter;
  • Reviewing the generated document carefully before signing it;
  • Properly executing the document under the laws of your state, which typically requires signing in the presence of two competent adult witnesses; and
  • Storing your signed will safely and informing your executor of its location.

We do not guarantee that the documents we generate will be accepted in every probate court, that they will achieve any particular tax or estate-planning outcome, or that they will meet the requirements of your specific circumstances. A will’s validity depends on proper execution under the laws of your state at the time of your death and on the accuracy of the information you provided.

5. Acceptable use

You agree not to:

  • Use the Service to create a document for any person other than yourself (or your spouse, on a Couples plan), unless that person has expressly authorized you;
  • Knowingly enter false information, impersonate another person, or attempt to use the Service to defraud anyone;
  • Reverse-engineer, scrape, copy, or resell any part of the Service, our templates, or our generated documents;
  • Use the Service in any manner that violates applicable laws, including export-control, anti-money-laundering, or privacy laws; or
  • Interfere with the operation of the Service or attempt to gain unauthorized access to any account, system, or data.

6. Purchases, billing, and subscriptions

Prices for our products are shown at checkout in U.S. dollars and are exclusive of any applicable taxes. By providing payment information, you authorize us and our payment processor (Stripe, Inc.) to charge the amount shown.

One-time purchases. Our will-preparation product is a one-time purchase that unlocks your generated document for download and storage in your account. See our Refund Policy for details on refunds.

Updates subscription. You may optionally add a recurring “Updates” subscription that allows you to make unlimited changes to your will and re-download it. The subscription renews automatically until you cancel it. You can cancel anytime from your account; cancellation takes effect at the end of the current billing period and you will retain access until then.

We may change pricing at any time, but changes will not affect purchases already made or active subscription periods already paid for.

7. Intellectual property

The Service, including our website, software, design, templates, and content, is owned by Willy.legal and protected by U.S. and international copyright, trademark, and other intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your personal estate-planning needs.

The will and supporting documents we generate for you are yours to use, print, sign, share with your executor, and store as you see fit. The underlying templates, code, and software remain our property.

8. Your content

You retain ownership of the information you submit (the “Your Content”), including draft answers, beneficiary details, and any documents you upload to your account. You grant us a limited license to host, store, copy, transmit, and process Your Content solely to operate and improve the Service for you.

You represent that you have all necessary rights in Your Content and that it does not violate any third-party rights or applicable law.

9. Disclaimers

THE SERVICE AND ALL DOCUMENTS GENERATED THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WILLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT ANY DEFECT WILL BE CORRECTED; OR THAT ANY DOCUMENT GENERATED WILL BE LEGALLY SUFFICIENT FOR YOUR PARTICULAR CIRCUMSTANCES OR ACCEPTED BY ANY COURT OR OTHER AUTHORITY.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WILLY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE OR ANY DOCUMENT GENERATED THROUGH IT.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, FROM ALL CAUSES OF ACTION AND UNDER ALL THEORIES OF LIABILITY, WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Willy and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to (i) your use of the Service; (ii) your violation of these Terms; (iii) your violation of any law or any third-party right; or (iv) any document you create, sign, or distribute based on the Service.

12. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

You and Willy each agree that any dispute will be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will give you reasonable advance notice (for example, by email to the address on your account or by a notice in the Service) before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
